This means that the actual investment only becomes binding once the final contracts have been concluded. However, certain provisions may already be legally binding, in particular:<\/p>\n<ul style=\"font-weight: 400;\">\n<li>Confidentiality Agreements<\/li>\n<li>Exclusivity clauses<\/li>\n<li>Cost arrangements<\/li>\n<li>Governing law and jurisdiction<\/li>\n<li>Rules governing the termination of negotiations<\/li>\n<\/ul>\n<p style=\"font-weight: 400;\">Whether any of these points are binding, and if so which ones, depends on the specific wording.<\/p>\n<p style=\"font-weight: 400;\">The typical process following the signing of a term sheet is as follows:<\/p>\n<ol style=\"font-weight: 400;\">\n<li><strong>Due diligence<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">Among other things, investors assess the company\u2019s finances, business model, contracts, technology, market and legal risks.<\/p>\n<ol style=\"font-weight: 400;\">\n<li><strong>Contract negotiation<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">The key points of the term sheet are incorporated into investment agreements, shareholders\u2019 agreements and other documents.<\/p>\n<ol style=\"font-weight: 400;\">\n<li><strong>Fulfilment of outstanding conditions<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">This may include resolutions under company law, adjustments to the shareholding structure or the clarification of intellectual property rights.<\/p>\n<ol style=\"font-weight: 400;\">\n<li><strong>Signing<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">The parties involved will sign the final contracts.<\/p>\n<ol style=\"font-weight: 400;\">\n<li><strong>Closing<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">The investment is finalised, the capital is paid in, and the new shares are transferred or issued.<\/p>\n<p style=\"font-weight: 400;\">For founders, a term sheet offers a number of advantages:<\/p>\n<ul style=\"font-weight: 400;\">\n<li>Early clarity on key terms and conditions of investment<\/li>\n<li>a structured basis for further negotiations<\/li>\n<li>a lower risk of fundamental misunderstandings<\/li>\n<li>faster preparation of the final contracts<\/li>\n<li>greater comparability between different investment options<\/li>\n<\/ul>\n<p style=\"font-weight: 400;\">Common mistakes when dealing with a term sheet include:<\/p>\n<ul style=\"font-weight: 400;\">\n<li>to focus solely on the company valuation and the amount of investment<\/li>\n<li>to underestimate the economic impact of liquidation preferences<\/li>\n<li>to accept far-reaching approval rights without scrutiny<\/li>\n<li>Failure to take sufficient account of vesting and leaver provisions<\/li>\n<li>to confuse binding and non-binding clauses<\/li>\n<li>failing to take future funding rounds and exit scenarios into account<\/li>\n<li>to sign the term sheet without a legal and tax review<\/li>\n<\/ul>\n<p style=\"font-weight: 400;\">The highest investment offer is not automatically the best.
