The company\u2019s valuation therefore falls despite raising additional capital.<\/p>\n<p style=\"font-weight: 400;\">A down round often occurs when market conditions deteriorate, growth targets are not met, or investors perceive the company\u2019s risk to be higher than before.<\/p>\n<p style=\"font-weight: 400;\">Possible causes of a down round are:<\/p>\n<ul style=\"font-weight: 400;\">\n<li>lower growth than expected<\/li>\n<li>changes in market or competitive conditions<\/li>\n<li>Difficulties with turnover or profitability<\/li>\n<li>a less favourable financing environment<\/li>\n<li>strategic or operational challenges<\/li>\n<\/ul>\n<p style=\"font-weight: 400;\">A down round can have various consequences:<\/p>\n<ul style=\"font-weight: 400;\">\n<li>Dilution of existing shares<\/li>\n<li>a fall in the company\u2019s value on paper<\/li>\n<li>potential uncertainty amongst staff and investors<\/li>\n<li>Adjustments to share ownership and incentive schemes<\/li>\n<li>more challenging conditions for future funding rounds<\/li>\n<\/ul>\n<p style=\"font-weight: 400;\">Despite its negative connotations, a down round is not necessarily a sign that a company has failed.
